Terms of service
These Trade Account Terms & Conditions apply only to approved account holders
1. Definitions
“Seller” means Tracey Petersen t/a The Vanilla Pod Store.
“Buyer” means the account holder purchasing goods from the Seller.
“Goods” means all products supplied by the Seller.
2. Credit Terms
Approved trade accounts are supplied on 15 EOM terms unless otherwise agreed in writing.
Invoices issued during any calendar month become due for payment on the 15th day of the following month.
Example:
An invoice dated 10 May is payable on 15 June.
The Seller reserves the right to withdraw, suspend or amend credit facilities at any time without notice.
3. Minimum Order Quantity
The minimum order quantity for vanilla pods supplied on trade account is 250 grams per order unless otherwise agreed in writing by the Seller.
The Seller reserves the right to refuse or surcharge orders below the minimum quantity.
4. Payment
Payment shall be made by using Xero or Bank Transfer quoting invoice number.
No deductions, set-offs or withholding may be made by the Buyer unless agreed in writing by the Seller.
5. Late Payment & Recovery Costs
The Seller reserves the right to charge interest on overdue balances at:
8% per annum above the Bank of England base rate; and/or
statutory compensation and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.
The Buyer shall also indemnify the Seller against all reasonable costs incurred in recovering overdue sums, including:
debt collection agency fees;
legal costs;
tracing costs;
court fees;
administrative recovery costs.
Accounts exceeding agreed terms may be placed on stop or suspended until payment is received in full.
6. Retention of Title
Goods supplied remain the property of the Seller until paid for in full.
Until title passes:
the Buyer shall store goods separately and clearly identifiable;
the Seller may recover unpaid goods at any time;
the Buyer grants the Seller access to premises for recovery purposes.
7. Delivery & Risk
Delivery shall normally be made using Royal Mail Tracked 24 with Signature service unless otherwise agreed.
Risk in the goods passes to the Buyer upon delivery and signature acceptance at the delivery address provided by the Buyer.
Delivery dates are estimates only and time shall not be of the essence unless agreed in writing.
The Buyer must inspect goods immediately upon delivery and notify shortages, damage, or errors within 24 hours.
Proof of delivery provided by Royal Mail shall constitute evidence of delivery.
Failure to notify within these periods shall constitute acceptance of the goods.
8. Product Quality & Storage
The Buyer is responsible for ensuring goods are stored, handled and used in accordance with all food safety requirements and any instructions supplied.
The Seller accepts no liability for deterioration arising from incorrect storage or handling after delivery.
9. Returns
No goods may be returned without prior written agreement.
Vanilla pods supplied correctly and accepted on delivery are non-returnable except where defective.
10. Pricing
Prices are subject to change without notice due to market conditions, availability, freight costs, exchange rates, crop conditions, or supplier increases.
VAT will be charged where applicable.
11. Force Majeure
The Seller shall not be liable for failure or delay caused by circumstances beyond reasonable control including:
transport disruption;
import/export restrictions;
crop failures;
industrial action;
weather events;
supplier shortages.
12. Limitation of Liability
The Seller’s liability shall not exceed the invoice value of the goods supplied.
The Seller shall not be liable for indirect or consequential losses including loss of profit, production losses, or business interruption.
13. Governing Law
These terms are governed by the laws of England and Wales.
Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales
